Introduction

The Value Circle ("this Website") seeks to provide a platform for investors to share information with one another on value investing. Your use of this Website is subjected to the terms and conditions imposed by the owners of this Website ("the Moderators") as follows: -

1. Membership & Usage

1.1 You must be registered as a member ("Member") before you are allowed to access the confidential pages of this Website.

1.2 You warrant that all information provided by you during the registration process is accurate and complete.

1.3 You are required to submit a written essay concerning an investment idea as stated in the registration form.

1.4 The Moderators have the sole and absolute discretion to approve or reject your registration on confidential grounds.

1.5 If your registration is successful, you will be prompted to enter a user-identification ("User-ID") and password ("Password), upon which this set of User-ID and Password will be used for future accessing of this Website. You agree to keep your User-ID and Password confidential at all times and be fully responsible for its proper usage.

1.6 As a Member, you shall:
(a) adhere to all terms and conditions of this Website, including any amendments inserted by the Moderators from time to time;
(b) take all necessary steps to ensure that all information uploaded on this Website by you does not infringe any copyright or any other intellectual property of any third party;
(c) use the services of this Website in good faith at all times;
(d) ensure that your online communication with other Members and the Moderators be carried out in the spirit of respect and politeness; and
(e) fully indemnify the Moderators for any loss or damages and all legal costs arising from your breach of any terms and conditions herein.

1.7 As a Member, you shall not:
(a) upload any information that is defamatory to any person of any race, religion and/or country;
(b) upload any information that advertises and/or sells any product and/or service as this Website prohibits all of such activities;
(c) upload any information that is by its nature confidential and/or protected by the law;
(d) breach the confidentiality observed by other Members by disclosing the information on this Website to non-Members;
(e) copy any portion of the information on this Website onto other online websites, forums, chat groups, bulletin boards etc without the prior written consent of the Moderators;
(f) edit any portion of the information on this Website uploaded by other Members without the prior written consent of the Moderators; and
(g) abuse the services of this Website in an unlawful manner.

1.8 The Moderators reserve the sole and absolute discretion to revoke the Member's membership at any point in time by giving notice through email which shall take immediate effect on the date of the notice. The grounds of the revocation are confidential and no appeals shall be entertained.

1.9 In the event that any Member has breached any existing law with respect to the information uploaded by himself at any point in time, the Moderators reserve the sole and absolute discretion to commence legal action against the Member, and the Member shall fully indemnify the Moderators for their loss or damages and all legal costs.

1.10 In the event that any legal action has been taken against the Moderators from or arising out of the information uploaded by the Member, or from or arising out of the relationship between the abovementioned Member and the Moderators, the Member in question shall fully indemnify the Moderators for their loss or damages and all legal costs.

2. Intellectual Property

2.1 In consideration of the access granted to the Members to the services of this Website, all information uploaded on this Website by the Members shall be the copyright or intellectual property of the Moderators.

2.2 In pursuant of Clause 2.1, the Moderators have the sole and absolute discretion to exercise their copyright or intellectual property over all information on this Website in any manner as they deem fit, from time to time, including but not limited to, the right to transfer ownership of this Website to any third party, with or without consideration from the third party.

3. Disclaimers

3.1 The information on this Website may be objective or subjective, and it is not intended to be relied upon in any manner without the Member's independent verification and analysis.

3.2 No Member or Moderator shall represent or give any warranties, express or implied, to any other Members as to the accuracy and completeness of the information uploaded.

3.3 There shall be no relationship of reliance, agency or partnership between any Member to Member, or between any Member and the Moderators.

3.4 The presence of all information on this Website does not constitute, directly or indirectly, any support or endorsement by the Moderators, of any or all of the abovementioned information, to all Members in any manner whatsoever.

3.5 Any Member or Moderator may possess, directly or indirectly, a vested interest with respect to any part or the entirety of the nature of information uploaded, as it may be, from time to time. The presence of such a vested interest does not constitute any form of representation from the Member or Moderator to any other Members.

3.6 The Moderators firmly encourage all Members to consult professional advice in respect of all decisions to be made, concerning or arising from, the information on this Website.

4. Governing Law

4.1 The terms and conditions contained herein shall be governed by the laws of Singapore.

4.2 In the event that any of terms and conditions herein is held to be invalid or unenforceable, the other remaining terms and conditions shall not be affected and shall remain valid to the fullest extent.

4.3 All disputes, controversies, or differences arising out of or in connection with this Website shall first be submitted to the Singapore Mediation Centre for resolution by mediation in accordance with the Mediation Procedure for the time being in force. The Members agree to participate in the mediation in good faith and undertake to abide by the terms of any settlement reached.
